You agree that Florida law, excluding conflict of laws principles, will govern this agreement, and that any claim or suit arising out of or related to this agreement must be brought exclusively in federal or state courts located in Sarasota , Fl. You consent to the exclusive jurisdiction of such courts. You agree to assume full responsibility for your decision to use IndustryRecycles affiliated services. The Company offers the IndustryRecycles service "as is" and disclaims any implied warranties including for merchantability, fitness for a particular purpose, and non-infringement. You agree that in no event will the Company be liable to you for any special, incidental or consequential damages. You agree that you are responsible to pay all applicable taxes, and to obtain all relevant licenses and permits associated with the legal operation of your enterprise. Furthermore, you agree to indemnify and hold the Company harmless for any damages or costs incurred as a result of your violation of any law, regardless of whether they are actual, incidental, consequential, or punitive. You agree to be bound by all of the terms and conditions set forth at the IndustryRecycles web site, including but not limited to the IndustryRecycles Accounting Policy, the IndustryRecycles Privacy Policy, the IndustryRecycles DMCA Notice, the IndustryRecycles Network Abuse Policy, the IndustryRecycles Legal Notice, all of which are incorporated herein by reference. If you promote products listed by IndustryRecycles, then: You agree to make no such promotions that suggest or imply any warranty or other policy that might conflict with IndustryRecycles's return policy. You agree to make no such promotions that involve unlicensed use of materials protected by copyright or trademark law. You agree that you will not engage in activities that inferfere with our tracking of commissions, or with the normal flow of traffic from affiliates. You agree that all such promotions will be fully compliant with federal and state laws, including US federal and state laws regarding network abuse, unsolicited messaging, and FTC Regulations. -------------------------------------------------------------------------------- Advertising Rules and Disclosure Rules. If you send (or cause to be sent) messages by electronic means (including but not limited to email, and instant messages) in connection with the direct or indirect promotion of IndustryRecycles products, then you represent and warrant the following: No such message will be sent to any individual who has not explicitly requested to receive such messages specifically from you or your company. No such message will be sent to any individual who has explicitly requested to receive no further messages from you or your company.No such message will include any false or misleading information regarding your identity, or the intent, subject, or origin of the message. All such messages will include accurate information regarding your identity, and the intent, subject, and origin of the message. No such message will include any incomplete, invalid, misleading, fake, or forged message headers. All such messages will include complete, valid, and accurate message headers indicating the origin of the message. No such message will be delivered in conjunction with the use of mousetraps, such as windows that reappear, spawn new windows or otherwise resist being closed. No such message will be delivered via means that exploit documented or undocumented security holes on any client or server machine. All such messages by email will include clear, valid, and conspicuously displayed From, Subject, Removal or Opt-Out information, and a functioning return address (or hyperlink) that 1) enables the recipient to submit a request to receive no further messages from you; and 2) remains capable of receiving such requests for no less than 30 days from the date the message was sent. No such message will be sent to an address that was obtained via 1) automated means from an Internet website or proprietary online service operated by another party; 2) generation of possible addresses by combining names, letters, or numbers into numerous permutations; or 3) spyware, viruses, or other means of bypassing system security or invading consumer privacy. No such message will be sent from (or made to appear that it was sent from) an address that was obtained via the use scripts or other automated means to register for multiple electronic mail accounts or online user accounts from which to transmit unsolicited or misleading email messages. No such message will be sent, relayed, or transmitted by a protected computer or network that was accessed without authorization. No such message will include any fraudulent, deceptive, false or misleading information. All such messages will be in full complance with federal and state laws and regulations governing commercial electronic mail, electronic messaging, and advertising. If you register a product with IndustryRecycles, then: You agree that IndustryRecycles may list your product in its catalog and make it available for purchase by retail consumers. You understand that IndustryRecycles may adjust the final retail price (including any applicable sales tax) of that product. You understand that IndustryRecycles may delist any product from its catalog at any time, without cause or notice. You agree to provide IndustryRecycles with a valid customer support email address for your product, to which paying customers and IndustryRecycles staff can send inquiries and receive a non-automated reply by end of the following business day. You agree to provide customers with appropriate technical support pages for your product. These pages must be written in English, and hosted at your own web site. You understand that the Company may temporarily hold or permanently seize all funds in your IndustryRecycles account if we determine that your account is associated with: Illegal activity, or Flagrant disregard for IndustryRecycles rules, or Legal Notices, Lawsuits directed at the Company or its employees, or Legal threats, abusive language, harassment, or other antisocial behavior directed at the Company, its employees, or their families. You understand that the Company may temporarily hold any portion of the funds in your IndustryRecycles account if we determine such action is needed to secure the payment and performance of all liabilities, obligations, and indebtedness you may incur with the Company. You understand that the Company may freely assign or otherwise transfer any or all of the rights and obligations described under the IndustryRecycles Client Contract without your consent and without notice to you. You understand that the Company reserves the right to modify the IndustryRecycles Client Contract at any time. -------------------------------------------------------------------------------- ACCOUNTING POLICY Pay periods. Pay periods end at 12:00:01am on the 1st and 16th of each month. For security reasons payment is by check only. Checks are mailed within 15 days after the end of the period. Checks over $5000 are sent at our expense by US Priority Mail (US) or Global Priority Mail (Europe, Canada, Australia, etc) wherever possible. Payment preference. In your account you may select an amount from $100 to $10000 as your payment preference. The default setting is $100. We hold your check until your payable balance reaches this amount. A $2.50 accounting fee is deducted from each check we issue. To change your payment preference simply login to your account, click the link to "access your account", click the link to "modify your account", select the desired amount from the drop down menu, and click the "save changes" button. IRS compliance requirement for US based affiliate / providers earning over $500. In compliance with new IRS rules, we require a federal tax ID (EIN) for all US-based affiliate / providers earning $500+ per tax year. This rule applies only if 1) Your mailing address is in the US, and 2) You have earned more than $500 in affiliate / provider commissions in a single calendar year. EIN's are easy to obtain, and not sensitive information (like SSN's). They also eliminate the need for "1099" forms at the end of the year. If you do not have one already, you may click HERE to get yours at the IRS web site. The IRS will either provide your number online, or mail it to you. Once you have obtained your EIN please be sure to key it in to all of your IndustryRecycles accounts, in this 9 digit format: 12-3456789. Note: If you live in the US but you are not a US citizen, you will instead need to fax a completed IRS W-8ben form to us at 941-827-9831 . Be sure to include a cover sheet that indicates your account nickname. Customer distribution requirement. IndustryRecycles accounts cannot be used for the sole purpose of collecting rebates, or otherwise extending credit to yourself or others. To ensure compliance with US law, IndustryRecycles will withhold payment of any account balance until it contains purchases by customers located in four or more distinct countries, states, or provinces. Sales tax collection. IndustryRecycles computes all applicable sales taxes and presents the total price to the consumer on the order form. For digital products, current US federal law requires us to remit sales taxes only for products purchased by customers whose billing address is in the European Union. Completed sales. IndustryRecycles sells a wide array of product and services, for prices far below wholesale and suggested retail, less a 7.5% success fee. IndustryRecycles also collects and remits sales or VAT taxes as required. If an affiliate / provider generated the sale, the remaining amount is automatically split between the publisher and affiliate / provider according to the commission percentage set by the publisher. Amounts are credited to the affiliate / provider at the completion of sale. Refunded sales. If a customer dispute cannot be resolved we may be forced to refund the sale. When a sale is refunded the customer receives a 100% refund, and payouts from that sale are debited back out of the corresponding publisher and affiliate / provider accounts. From the provider account we also deduct any fees incurred per refunded online check sale. (There is no similar deduction for credit card refunds.) Revoked sales. A purchase is revoked if the customer's bank later claims the purchase was unfunded or fraudulent. Products that generate such complaints cost us money and harm our reputation as a reliable product retailer. From the provider account we deduct any fees incurred per returned online check, and $15 per credit card chargeback. We will deduct an additional $35 penalty per credit card chargeback if the provider products generate in excess of 0.75% chargebacks in any 90 day period. IndustryRecycles reserves the right to delist any product or group of products at any time. Debit backdating. In your account, Refunds and Revokes are backdated 8 days for accounting purposes. For example, if a refund is done on the 7th of the current month, the debit is applied to the previous pay period. Determination of affiliate / provider. The affiliate / provider (if any) we associate with any IndustryRecycles sale is determined by an automated customer tracking system. Any decision made by this system is final, and not subject to petition or debate. Though we believe our tracking system to be more fair and accurate than any alternative, we make no representation regarding the ability of the system to track any specific customer, for any specific length of time. Return allowance. >From each check we deduct a fraction that is credited back to your account after six pay periods (about 90 days). These funds are used to cover our risk of future returns (refunds and revokes) associated with the products you promote. The standard return allowance is 10%. IndustryRecycles may adjust your return allowance at any time. Dormant accounts. Accounts with a positive balance but no earnings for an extended period of time are considered dormant. In each pay period a $1 charge applies to accounts dormant for 90 days, and a $10 charge applies to accounts dormant for 365 days. Account closure. You may close your account at any time. Any closing balance under $50 will be forfeited. Account transfer. At your request we can change the payee associated with your account. To initiate this process we need a signed authorization statement from the current payee sent to us via certified mail. A $50 account transfer fee applies. Postal delays & Reissued checks. No national postal service is 100% reliable. If your check is significantly delayed you may request that we send you a new check. Please keep in mind that to issue a new check we have to pay a service fee to the bank network to recall (void) the first check. A $20 cancellation fee applies. New checks can only be issued on days when regular checks are cut (twice monthly). IndustryRecycles must receive the reissue request by the 10th of the month to be processed with the payment for the pay period ending the 1st and by the 26th to be processed with the payment for pay period ending the 16th. There are no exceptions to these deadlines. To request that a check be reissued, please email paychecks@IndustryRecycles.com. Stale paychecks. IndustryRecycles paychecks are VOID after 90 days from the date of issue. Please present your paychecks to your financial institution promptly. If you present a check after the 90 days your bank may refuse the check. We can issue a new check if the stale check is in our possession. Please write "VOID" across the check and send it to the following address: IndustryRecycles.com attn: paycheck department 5650 Lawton drive, Suites 2-49 Sarasota, Fl 34233 After we receive the check a new one will be issued on the next payout date. Stolen paychecks. In some countries mail theft is not uncommon. If a paycheck is fraudulently endorsed (deposited by someone other than you) you will need to open a fraud case with our bank. If the bank determines that fraud did occur they will reimburse us the funds so that we may issue another check. IndustryRecycles cannot reissue a check prior to the funds being returned to us or prior to the completion of the investigation by the bank. Legal limitations. This document is not a warranty. Like Amazon.com and other large internet merchants, IndustryRecycles has a network of tens of thousands of affiliates who promote our products. If you have arrived at this page is it likely that you experienced a problem with one of these affiliates. Please follow the instructions below to resolve your complaint. All IndustryRecycles clients are prohibited from using our services in conjunction with any form of network abuse, spamming, spyware, denial of service, or other illegal activity. Please report any abuse of IndustryRecycles resources promptly so that we can take corrective action against any offending accounts. If you have arrived at this page several times via unwanted popup windows, your machine may be infected with a virus. Such viruses can often be removed using anti-spyware utilities. Be certain to include the full body and header of the offending message in your email. To report sites using mousetraps, such as windows that spawn new windows or otherwise resist being closed, please forward the offending url to abuse@IndustryRecycles.com. To report copyright or trademark abuse please consult our DMCA disclosure in the IndustryRecycles Legal Notice. -------------------------------------------------------------------------------- Customer Service If you see a charge by IndustryReycles or IndustryReycles on your bank statement, chances are that you or a person in your household made a purchase from IndustryReycles, the internet's lowest price seller of products. If you experience trouble receiving a product, or you have other technical issues with a product, please contact the provider of the product directly. Contact information for the product's provider / affiliate is included in the confirmation email we send you just after you make a purchase. Remember, the product provider / affiliate is an expert on the product itself, and can give you personalized customer service. Please be patient and allow the provider / affiliate two business days to respond. If you have contacted the provider / affiliate , but after two business days the issue remains unresolved, IndustryReycles will be happy to assist you directly. The following statement or equivalent: "I have a good faith belief that use of the copyrighted materials described above on the allegedly infringing web pages is not authorized by the copyright owner, its agent, or the law. I swear, under penalty of perjury, that the information in the notification is accurate and that I am the copyright owner or am authorized to act on behalf of the owner of an exclusive right that is allegedly infringed."
